NeuroPace (NASDAQ:NPCE) shares fell ~11% premarket on Friday after the company priced a stock offering to raise $65M in proceeds. The offering comprises 6.5M shares of common stock issued at a public offering price of $10.

MOUNTAIN VIEW, Calif. - NeuroPace, Inc. (NASDAQ: NPCE), a medical device company specializing in epilepsy treatment with a current market capitalization of $357 million, announced today its plans to conduct an underwritten public offering of $65 million in common stock shares.

NeuroPace expects to use approximately $49.5 million of the net proceeds from the offering to repurchase 5,270,845 shares held by NeuroPace’s significant stockholder, KCK Ltd., at $9.40 per share, which is the price per share at which the underwriters will purchase shares of NeuroPace’s common stock from the company in the public offering.
